Please read these Terms carefully. By creating an account, purchasing a learning plan, accessing a class, submitting learning materials, or otherwise using Halaca, you agree to these Terms.

1. Acceptance of These Terms

These Terms and Conditions constitute a legally binding agreement between you and Halaca Technologies Inc., operating as Halaca Academy (“Halaca,” “we,” “us,” or “our”).

By accessing or using our website, mobile applications, learning platform, live-class tools, notebook services, teacher dashboards, or related services (collectively, the “Services”), you confirm that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

2. About Halaca Academy

Halaca is a public educational platform designed to support learning through live instruction, writing, interaction, teacher feedback, notebook submissions, digital annotations, and progress tracking.

Halaca may provide educational services to individuals, families, teachers, educational institutions, learning centres, and other organizations.

Available subjects, teachers, class formats, schedules, plans, features, and prices may change from time to time.

3. Eligibility and Users Under the Age of Majority

You must be legally capable of entering into a contract in your province, territory, state, or country to purchase a plan or independently create an account.

Where a student is under the applicable age of majority, a parent or legal guardian must create or authorize the account, approve participation, and accept these Terms on the student’s behalf.

Parents and guardians are responsible for supervising minors’ use of the Services and for ensuring that all account information is accurate.

4. User Accounts

Certain features require an account. You agree to provide complete, current, and accurate information during registration and to update it when necessary.

You are responsible for:

  • Keeping your password and login credentials secure.
  • All activity performed through your account, except where caused by Halaca’s own unauthorized actions.
  • Notifying us promptly if you suspect unauthorized access or misuse.
  • Ensuring that you use the correct student, parent, teacher, or organizational account type.

You may not sell, transfer, lend, or share your account with an unauthorized person.

5. Educational Services

The Services may include live classes, interactive whiteboards, audio and video communication, teacher annotations, notebook scanning, assignment submission, corrected-document viewing, class scheduling, progress information, and related educational features.

Class content and learning outcomes depend on several factors, including attendance, participation, teacher availability, student effort, device compatibility, and internet quality.

Halaca does not guarantee a particular academic result, level of mastery, certification, grade, or learning outcome.

6. Live Classes

Live classes are available only at scheduled times or during access windows established by Halaca or the assigned teacher.

Students agree to:

  • Join classes on time.
  • Use a compatible device and reliable internet connection.
  • Behave respectfully toward teachers and other participants.
  • Avoid recording, copying, broadcasting, or sharing a class without prior written permission.
  • Avoid displaying unlawful, harmful, offensive, or unrelated content.

Teachers may allow students to write on a shared whiteboard and may annotate the same writing in real time. Access to writing, microphone, camera, or other controls may be enabled or restricted by the teacher.

Halaca does not ordinarily record a class unless users receive appropriate notice or consent is otherwise obtained where required.

7. Notebook Scanning, Submission, and Annotation

Students may photograph, scan, convert, and upload notebook pages or other learning materials for teacher review.

Teachers may annotate the uploaded digital copy, provide corrections, change the submission status, and return corrected work through the platform.

You confirm that:

  • You own or have permission to upload all submitted materials.
  • Submitted pages do not contain unlawful or unauthorized personal information.
  • The submission does not infringe another person’s intellectual-property or privacy rights.

You should retain your original physical notebook and personal backup copies. Halaca is not a permanent archival-storage service.

8. Plans, Fees, and Payments

Some Services require payment. The applicable plan, duration, price, taxes, class frequency, included services, and other material terms will be presented during registration, checkout, or in a written offer before payment is completed.

Unless expressly identified as recurring, Halaca learning plans are one-time purchases for the stated service period.

Payments may be processed by an independent payment provider. Halaca does not normally store complete payment card numbers.

You authorize Halaca and its payment providers to charge the displayed amount, applicable taxes, and any other fees clearly accepted during checkout.

All amounts are displayed in the currency identified at checkout. Currency-conversion or foreign-transaction fees charged by your bank are your responsibility.

9. Cancellations, Missed Classes, and Refunds

Cancellation and refund eligibility will be determined according to the terms presented at purchase, any applicable written refund policy, and mandatory consumer protection laws.

Students should notify Halaca as early as possible if they cannot attend a scheduled class.

Unless Halaca agrees otherwise or applicable law requires a different result:

  • A missed class caused by the student does not automatically entitle the student to a refund, credit, or replacement class.
  • If Halaca or the assigned teacher cancels a class, Halaca may reschedule the class, extend access, issue a credit, or provide another appropriate remedy.
  • Temporary technical interruptions do not automatically create a right to a full refund.

Nothing in these Terms removes any cancellation, refund, or other consumer right that cannot legally be waived.

10. Acceptable Use and Conduct

You must not:

  • Harass, threaten, impersonate, or abuse another user, teacher, employee, or representative.
  • Upload malware, unlawful material, explicit content, hate speech, or content that endangers a minor.
  • Attempt to bypass authentication, billing controls, class schedules, permissions, or access restrictions.
  • Reverse engineer, copy, scrape, modify, or interfere with the Services except where such restriction is prohibited by law.
  • Share classroom links, tokens, credentials, corrected documents, or private learning materials without authorization.
  • Use Halaca for fraud, unlawful surveillance, infringement, or any illegal purpose.

11. User Content

You retain ownership of the original content you upload or create, including notebook pages and student writing.

You grant Halaca a limited, non-exclusive, worldwide licence to host, store, reproduce, process, display, transmit, convert, and annotate that content only as reasonably necessary to:

  • Operate and secure the Services.
  • Provide classes and teacher feedback.
  • Process submissions and corrected documents.
  • Provide customer support.
  • Comply with legal obligations.

This licence ends when the content is deleted, subject to reasonable backup, security, dispute-resolution, and legal-retention requirements.

12. Privacy and Personal Information

Our collection, use, disclosure, storage, and protection of personal information are described in our Privacy Policy, which forms part of these Terms.

Depending on how the Services are used, personal information may include account information, contact information, class participation data, device data, submitted notebook pages, teacher annotations, and transaction records.

Users must not upload another person’s personal information unless they have authority to do so.

13. Third-Party Services

Halaca may use third-party providers for payment processing, live video, cloud hosting, analytics, document viewing, PDF annotation, notifications, and other technical functions.

These providers may include services such as Stripe, 100ms, Apryse, Apple, Google, and hosting or infrastructure providers.

Third-party services may be subject to their own terms, availability, security practices, and privacy policies. Halaca is not responsible for an independent provider’s services beyond the extent required by applicable law.

14. Halaca Intellectual Property

The Halaca name, logos, branding, software, source code, user interfaces, designs, databases, workflows, documentation, text, graphics, and other platform materials are owned by or licensed to Halaca Technologies Inc.

These Terms grant you a limited, revocable, non-transferable, and non-exclusive right to use the Services for their intended educational purpose.

No ownership rights are transferred to you.

15. Service Availability and Changes

We work to provide reliable Services, but uninterrupted access cannot be guaranteed.

Halaca may maintain, modify, replace, suspend, or discontinue a feature when reasonably necessary for security, legal compliance, performance, business operations, or product development.

We may also change teachers, schedules, class assignments, or service delivery arrangements where reasonably necessary. Where a material paid service is affected, we will seek to provide an appropriate alternative or remedy.

16. Disclaimers

To the maximum extent permitted by law, the Services are provided on an “as available” basis.

Halaca does not guarantee that the Services will always be uninterrupted, error-free, compatible with every device, or available in every country.

Educational information and teacher feedback are provided for learning purposes and are not a substitute for professional legal, medical, psychological, financial, or other regulated advice.

Nothing in these Terms excludes warranties or protections that cannot legally be excluded.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Halaca will not be liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, lost opportunity, or loss of data.

Where liability cannot be excluded, Halaca’s aggregate liability relating to the affected paid Service will not exceed the amount you paid Halaca for that Service during the three months immediately preceding the event giving rise to the claim.

This limitation does not apply where prohibited by law, including liability that cannot legally be limited.

18. Indemnification

To the extent permitted by law, you agree to indemnify Halaca against third-party claims, losses, or reasonable costs resulting from:

  • Your unlawful use of the Services.
  • Your violation of these Terms.
  • Content you upload without authorization.
  • Your infringement of another person’s rights.

19. Suspension and Termination

Halaca may restrict, suspend, or terminate an account where reasonably necessary because of:

  • A serious or repeated breach of these Terms.
  • Fraudulent or unauthorized activity.
  • Non-payment of an amount properly due.
  • A risk to students, teachers, systems, or data.
  • A legal or regulatory requirement.

Where appropriate, we may provide notice and an opportunity to correct the issue before termination.

Users may request account deletion through the app or by contacting us. Certain records may be retained where required for legal, accounting, security, or dispute purposes.

20. Changes to These Terms

We may update these Terms when our Services, legal obligations, or business practices change.

The updated version will display a revised effective date. Where a change materially affects your rights, we will provide reasonable notice through the app, website, or account email.

Changes will not retroactively alter a completed purchase unless permitted by law or agreed by the affected user.

21. Governing Law and Disputes

These Terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Before beginning formal proceedings, the parties agree to make a reasonable effort to resolve the dispute directly and in good faith.

Subject to any mandatory consumer-protection rights, disputes will be brought before the courts having jurisdiction in Alberta, Canada.

22. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Halaca’s failure to enforce a provision immediately does not waive its right to enforce it later.

You may not assign your rights under these Terms without our written consent. Halaca may assign these Terms as part of a merger, restructuring, financing, or transfer of the relevant business or assets.

These Terms, together with the Privacy Policy and any purchase-specific terms shown at checkout, constitute the agreement between you and Halaca concerning the Services.
